Sosco Social, LLC d/b/a Engage365 Terms and Conditions

This Terms of Service Agreement ("Agreement") defines the terms under which you ("Client") engage Sosco Social, LLC d/b/a Engage365 ("Engage365," "we," or "us") to provide social media management, content creation, and other services. By becoming a client, you agree to these terms. The "Effective Date" of this Agreement is the date you submit your order for services.

1. Services

1.1 Scope of Service

Engage365 provides social media management, content creation, and account support as outlined on our website (engage365.co). This Agreement supersedes prior agreements, and your acceptance of these terms is required to begin service.

1.2 Content Creation Only; Posting as a Complimentary Service

We are a content creation service; posting or publishing content to your accounts is a complimentary service. Content will be created and ready for review within 7 business days of onboarding completion, typically within 3-5 days. Missed posts due to platform issues (disconnections, password changes, etc.) do not qualify for a refund or credit, as our responsibility is solely content creation. It is the Client's responsibility to ensure content is published to their channels.

1.3 Third-Party Platform Limitations

Our services involve third-party platforms (e.g., Facebook, Instagram, Twitter, LinkedIn), but are not limited to these platforms, and we have no control over issues such as disconnections, suspensions, or restrictions that may occur. These limitations are beyond our liability. Should access to a platform be restricted, we will continue creating content and store it in your dashboard. Clients are encouraged to check accounts twice weekly for disconnections and notify us promptly so we can reconnect as needed.

1.4 Account Access and Security

Clients must grant Engage365 access to social media accounts, ideally through administrative access. If access changes (passwords, permissions), you must notify us immediately to maintain uninterrupted service. Content will be published as scheduled as long as we have access to at least one platform, fulfilling our service obligations.

1.5 Onboarding

Service begins upon signup, even if onboarding is incomplete. Clients must complete onboarding and may request a free Zoom or phone consultation (subject to change). Delays due to Engage365 may adjust the billing date at our discretion; however, delays caused by incomplete onboarding do not alter billing. If onboarding is not completed within 14 days, we reserve the right to begin creating and delivering content to avoid delays.

2. Client Responsibilities

2.1 Timely Feedback and Approvals

Clients must review and approve content promptly. Content not approved within one month will be automatically published. We encourage weekly account reviews to ensure content satisfaction. We do not edit or revise content that is more than 60 days old from the original delivery date. For any plans that include content review, clients are allowed one edit per post weekly. Additional edits are subject to an additional charge or fee as outlined in the service plan.

2.2 Content Customization and Edits During the First Month

We use information from your intake form to learn about your business. If you take advantage of the free onboarding consultation, we may ask further questions to refine our understanding. During the first month, we allow greater flexibility on edits as we work to align content with your brand. Edits beyond the first month are provided at our discretion. Clients subscribing to plans with content review and approval can request one additional edit per post.

2.3 Multiple Platforms and Missed Posts

Our pricing covers posting on at least one platform, while additional platforms are provided as a free service in some plans or an additional fee in others. Disconnections are the responsibility of the client, and we recommend checking social accounts twice weekly for any issues. If disconnections occur, we will continue creating content for all platforms even if fully disconnected, and once access is restored, all created content will be published. While we will make reasonable efforts to inform clients of disconnections, we are not liable for missed posts during this period, nor does it qualify for a refund. If we are unable to post to at least one platform, our contractual obligation is still considered fulfilled.

2.4 Professional Communication

We value respectful communication. Disrespectful or abusive behavior may result in immediate account suspension or termination without refund.

2.5 White Label/Reseller Responsibilities

Resellers are subject to these terms and are responsible for managing client communications and payments. Services provided to a reseller's client remain non-refundable if the reseller's client defaults or fails to inform us of cancellations.

2.6 Tech-Savvy Limitations

We understand that clients may have varying levels of tech experience. For clients who experience difficulties with the onboarding process, we dedicate extensive time to help. However, if this requires over 30 minutes of additional time, no refund will be provided should the client later cancel due to frustration. You may continue your month of service to receive full benefit.

2.7 Permission to use Content for Marketing Purposes

By engaging with Engage365 and its affiliates, Client grants Engage365, its affiliates, and any associated brands a perpetual, non-exclusive, royalty-free license to use, reproduce, and display content created under this Agreement—including, but not limited to, Client's company logo, social media profiles, and other marketing assets. This permission covers use for promotional purposes across websites, portfolios, social media channels, marketing materials, and any other media, whether digital or print. If Client prefers to restrict any specific usage, they must notify Engage365 in writing.

2.8 Intellectual Property and Content License

All content created by Engage365 on behalf of the Client remains the intellectual property of the Client. By accepting these terms, the Client grants Engage365, its affiliates, and any associated brands a perpetual, royalty-free, non-exclusive license to use, reproduce, display, and distribute the content across all marketing channels, including websites, social media, and promotional materials. This license remains in effect while the Client receives services from Engage365 and continues indefinitely after cancellation.

3. Fees, Payment, and Cancellation

3.1 Recurring Payment Terms

Fees recur monthly, with quarterly or annual options provided case-by-case at Engage365's discretion. Payments are due on the anniversary of signup, and unpaid charges will lead to service suspension. Accounts with two failed payments may be closed. No refunds are provided under any circumstances, including service interruptions due to client account disconnections.

3.2 No Refund Policy

Engage365 does not provide refunds due to our low-budget structure and commitment to efficient service delivery. Payments cover content creation time and resources, not specific marketing results. Any grouped or bundled services or add-ons, even if discounted, are non-refundable and non-creditable if the client chooses not to use part or all of the bundle. Discounts are provided at the time of purchase, and no further adjustments will be made if the client later declines or discontinues any portion of the bundled services.

3.3 Cancellation Process

To cancel, submit a support ticket at engage365.co/support at least 7 days before the next billing date. Cancellations are confirmed once processed by our billing department. No prorated refunds are given, but service will continue through the current billing cycle.

3.4 Quarterly/Annual Payment Options

At our discretion, quarterly or annual prepayments may be offered. These plans are non-refundable, and standard cancellation procedures apply. Renewals are automatic unless canceled at least 7 days before the renewal date through a support ticket.

3.5 Money-Back Guarantee

Engage365 may offer a money-back guarantee at its discretion. Guarantee periods, if provided, will be outlined at the time of purchase and are only valid within the specified duration. We reserve the right to withdraw or modify this offer at any time, with all cancellations subject to the agreed-upon timeframe for the guarantee.

3.6 Trial Period and Auto-Renewal

Should a trial period be offered, automatic renewal will occur upon its conclusion. Clients are responsible for canceling their trial before the end of the period to avoid billing. Normal cancellation procedures apply, and there are no refunds for trials not canceled.

3.7 Coupons and Special Offers

Engage365 may, at its sole discretion, offer coupons or special promotions. Each client is limited to using one coupon or special offer per transaction. Only under special circumstances, and at Engage365's discretion, may multiple coupons or offers be combined. Use of a coupon or special offer invalidates eligibility for any money-back guarantee unless otherwise explicitly stated in the offer terms.

4. Service Quality and Content Delivery

4.1 Content Creation and Publishing

Content creation begins immediately upon signup, and content will be delivered within 7 business days of onboarding. Any unapproved content will be automatically published if left pending for over a month. If your account includes approvals or an approvals add-on, these will be turned off at this time and content will be created as auto-approved. You are welcome to contact us at any time to have approvals turned back on.

4.2 Typos and Minor Errors

Although we strive for accuracy, typos or other minor errors may occur. Additional posts will be provided as necessary to correct such issues, but refunds will not be issued.

4.3 Blog Articles

Blog articles are typically 400-600 words. Clients are entitled to one revision per article. After one revision, the blog content is considered final.

5. Paid Advertising Services

5.1 Paid Advertising Terms

We offer paid advertising services on Facebook, Google, and occasionally other platforms. These services require a setup fee and a minimum 3-month commitment. Only Engage365 may grant an early cancellation at its discretion. Clients are responsible for tracking ad spend bi-weekly and assume all responsibility for ad budgets.

5.2 Campaign Structure and Refund Policy

Advertising campaigns are "top-heavy" in labor, often involving extensive setup before going live. Due to this structure, refunds are not provided for canceled campaigns, regardless of whether the campaign has started. In the case of ad rejections that delay the start of a campaign by over 7 days, we may issue a credit for the delay.

6. Client Communication and Support

6.1 Service Structure and Support

We are an online subscription-based service, not a full-service marketing agency. Client communication is typically inbound; clients are responsible for scheduling calls if needed. Phone support may be included in some packages or available as an add-on for an additional fee. Initial consultations are free, and we recommend using this time to clarify any questions before signing up.

7. Warranty Disclaimers

7.1 No Guarantee on Results

We do not guarantee specific social media engagement, growth, or performance metrics, as these factors depend on a variety of variables beyond our control.

7.2 Warranty Disclaimer

Engage365 disclaims any implied warranties, including those of merchantability, performance, title, non-infringement, and fitness for a particular purpose.

8. Indemnity and Liability

8.1 General Indemnity

Clients agree to indemnify and hold Engage365 harmless from losses, costs, damages, liabilities, or expenses arising from breaches of this Agreement, including issues related to third-party platform restrictions, copyright, and accidental account disconnections.

8.2 Intellectual Property and Copyright Liability

Engage365 is held harmless for copyright claims related to images, videos, or other materials used for content. If images or other assets are taken from the Client's website, provided marketing materials, or other resources accessible to Engage365, we assume these are owned or properly licensed by the Client. By providing access to these materials, the Client grants us the right to use them freely, and Engage365 will not be held liable for copyright infringement claims arising from their use. We trust that any assets on the Client's website or shared materials are suitable for use without liability to us.

8.3 Limitation of Liability

Engage365's liability shall not exceed the amount paid by the Client in the previous month. We are not liable for indirect, consequential, incidental, or special damages, even if advised of such possibilities.

8.4 Credit Card Disputes

All credit card charges shall be presumed accurate unless disputed in writing within 15 days of the billing statement date. All account activity, credits, or refunds will be paused until disputes are resolved. We highly recommend seeking resolution directly with us, as negotiation is often quicker and results in a favorable outcome for both parties.

8.5 Data Privacy and Security

Engage365 takes reasonable measures to maintain the confidentiality of Client data and access credentials. However, due to the involvement of third-party platforms and software, Engage365 is not liable for any security breaches, data losses, or unauthorized access that may occur on these third-party systems. The Client acknowledges the risk inherent in third-party platform use and agrees that Engage365 is not liable for any resulting security incidents.

8.6 Termination for Breach of Terms

Engage365 reserves the right to terminate services without refund in cases of serious or repeated breaches of these Terms and Conditions by the Client, including but not limited to abusive communication, non-payment, or unauthorized use of our content or branding.

8.7 Enforcement of Payment Obligations

In cases of non-payment, Engage365 will pursue all available legal avenues, including but not limited to claims, collections, and credit reporting. By accepting these terms, the Client acknowledges that unresolved debts may be reported to credit bureaus.

8.8 Third-Party Copyright Enforcement and Liability

From time to time, clients may receive demand letters, takedown notices, or copyright enforcement communications (e.g., from PicRights, Getty Images, Reuters, or similar entities) regarding content posted on their behalf by Engage365 or its affiliates. This includes—but is not limited to—images that may have originated from stock image sites, marketing assets, or the client's own website or social profiles. The Client acknowledges and agrees that they are solely responsible for responding to, handling, and resolving any such claim. Engage365 does not provide legal assistance or financial compensation in these matters, and will not engage with third-party rights holders on the client's behalf. By signing these Terms, the Client assumes all liability, including any monetary demands, legal risks, or reputational damage that may result from continued use of the disputed content. Even if a claim is received after the content has been removed, or if the content was sourced from materials publicly visible on the client's own website, the Client remains solely liable. Clients are encouraged to conduct their own legal review of materials used in their branding and social media to ensure copyright compliance. Engage365, its affiliates, and content creators exclusively utilize royalty-free images, music, videos, and other creative assets sourced from licensed third-party services such as Canva, Pixabay, and similar platforms. All efforts are made to ensure compliance with licensing terms at the time of use.

9. GetSocial Referral Program Terms and Conditions

These terms govern the GetSocial referral program ("Program"). By referring clients, you agree to these terms.

9.1 Eligibility

Only business retail clients may participate. Agencies and resellers are not eligible. Program participants are not required to be current or past clients.

9.2 Referral Reward

Participants receive 12.5% of each successful referral's monthly subscription. Payments are issued via PayPal, or to a charity of your choice at Engage365's discretion, with tracking available in your dashboard. Referral rewards are processed within 90 days following the close of each month.

9.3 Referral Limits and No Refunds

There are no limits on referrals. Referral rewards are non-refundable and cannot be exchanged for cash.

9.4 Program Modifications

Engage365 reserves the right to modify, suspend, or terminate the Program, with changes taking effect immediately upon posting.

9.5 General Provisions

Participants are responsible for applicable taxes on rewards. Abuse or non-compliance may result in forfeiture of rewards or suspension from the Program.

9.6 Governing Law

These Terms are governed by Florida state law without regard to conflict of law principles.

9.7 Charitable Donations Option in Referral Program

At Engage365's discretion, referral program participants may direct their rewards toward a donation made in their name to a charity of their choice. Charities must be pre-approved by Engage365 and must qualify as valid 501(c)(3) organizations or similar entities. Donations cannot be made to individuals. Engage365 reserves the right to withhold donations if concerns of fraud arise or if the organization fails to meet approval criteria.

10. Policy Breaches and Dispute Resolution

Breaches of this Agreement or disputes may result in immediate referral to collections and may be reported to all three credit bureaus. We will vigorously defend against breaches to uphold our terms and services.

11. Amendment To Terms

Engage365 reserves the right to modify, update, or change these Terms and Conditions at any time. Any modifications will be effective immediately upon posting on the Engage365 website (engage365.co). It is the Client's responsibility to review these terms periodically to stay informed of any updates. Continued use of our services following any modifications constitutes acceptance of the revised Terms and Conditions.

12. Media Creation, Licensing, and Client-Supplied Materials

12.1 Video Content Creation

Engage365 may create video content for Clients utilizing licensed templates, stock footage, graphics, and other creative elements. All such content is produced solely for the Client's use, subject to these Terms & Conditions.

12.2 Music & Audio Licensing

All music or audio used in video content is sourced exclusively through Canva or other licensed platforms approved by Engage365. Under no circumstances will Engage365 obtain or incorporate music from unlicensed sources (including but not limited to YouTube, Spotify, or similar platforms).

12.3 Client-Supplied Materials

Clients who provide music, images, video clips, logos, or other creative assets for incorporation into content represent and warrant that they hold the necessary ownership rights, licenses, or permissions for such materials. Clients are solely responsible for the legal use of any assets they supply.

12.4 Liability Disclaimer for Media

Engage365 shall not be held liable for any copyright claims, takedowns, disputes, penalties, or damages resulting from:

  • The Client's use of unlicensed or improperly licensed materials.
  • The Client's redistribution, modification, or use of content outside the scope of Engage365's licensing.
  • The Client's failure to secure necessary rights for supplied materials.

12.5 Optional Customization Requests

Clients may request the use of specific licensed audio tracks or creative assets. In such cases, the Client is solely responsible for acquiring and providing proper licenses prior to production.

12.6 General Content Liability

While every effort is made to ensure accuracy and originality, Clients are solely responsible for reviewing and approving all content prior to publication. Engage365 shall not be held liable for any claims, damages, or disputes arising from the use, accuracy, or reception of content once approved by the Client.

13. Survivability

All provisions of this Agreement shall survive the termination, cancellation, or expiration of services, unless explicitly stated otherwise. This includes, but is not limited to, clauses relating to payments, refunds, intellectual property, liability, warranties, indemnification, permissions, disclaimers, and usage rights. These terms remain binding and enforceable beyond the period of service.
